Student Place — Student Terms of Use

Welcome to Student Place ("Platform"). The Platform is owned and operated by Student Place Limited ("Student Place", "we", "our", or "us"). By registering for or using the Platform, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Platform. These Terms apply to students using the Platform; brands and businesses partnering with Student Place are subject to separate brand agreements.

1. Eligibility

To register for and use the Platform, you must be currently enrolled as a student at a university or other tertiary education institution. By registering, you represent and warrant that you meet this requirement, and Student Place may request evidence of your enrolment (such as your student ID) at any time and may suspend or terminate your account if you no longer meet this requirement or if this representation is found to be false.

The Platform does not otherwise impose a minimum age requirement. If you are under the age of 18, we recommend you seek the consent and involvement of a parent or guardian before registering. Under New Zealand law, contracts entered into by minors may in some circumstances be voidable at the minor's election, and by registering you and, where applicable, your parent or guardian, accept the terms on which the Platform is offered as set out here.

2. Use of the Platform

You may use the Platform for lawful, personal, non-commercial purposes only. You agree not to:

• Reproduce, distribute, or exploit any content from the Platform without written permission from Student Place
• Interfere with the Platform's operation or security features
• Use the Platform for any fraudulent, malicious, or harmful activity, including generating fake affiliate referrals or purchases
• Access or attempt to access other users' accounts or areas of the Platform without authorisation
• Misrepresent your identity or impersonate another student or brand

3. Account Registration

To use the Platform, you must register an account providing your name, email address, and student ID. You are responsible for maintaining the confidentiality of your account login details and for all activity that occurs under your account.

4. StuDollars, Tiers, and Discounts

StuDollars are a rewards token used solely within the Platform. StuDollars are not redeemable for cash, have no monetary withdrawal value, and cannot be transferred, sold, or exchanged outside the Platform.

New students automatically receive enough StuDollars to redeem the Bronze tier discount upon registration. Self-purchases earn StuDollars equivalent to 50% of value spent through the Platform. Affiliate purchases (purchases made by another student using your referral code) earn StuDollars equivalent to 70% of that student's purchase value, for 30 days following referral. Referring a friend earns you a complimentary 50 StuDollars.

Tier discounts, once unlocked, remain active for 30 days from redemption. Tier eligibility is calculated on a rolling 90-day basis. Student Place reserves the right, at its sole discretion, to adjust StuDollar conversion rates, tier thresholds, expiry periods, and commission structures from time to time, with reasonable notice to users where practicable.

5. Purchases, Refunds, and Chargebacks

Purchases are made directly between you and the partnered brand at their point of sale. Student Place does not process payments and is not a party to the sale itself; we record transaction data solely to calculate StuDollars, tier progress, and applicable commissions owed by the brand.

If a purchase is refunded, cancelled, or charged back, any StuDollars earned from that purchase may be deducted from your account. If those StuDollars have already been redeemed or contributed toward your discount tier, Student Place may adjust your balance, discount tier, or future rewards accordingly.

6. Affiliate Program

Each student is provided a unique referral code or link. You may share your code to earn StuDollars from referred students' purchases, subject to Section 4. You must not misrepresent, spam, or coerce others into using your affiliate code, and must not create fraudulent accounts or transactions to inflate your own rewards.

7. Account Suspension and Termination

Student Place may freeze, suspend, or ban your account at our discretion where we reasonably confirm misconduct, including but not limited to: fraudulent or fake affiliate activity, abuse of other users or brands, manipulation of the rewards system, or other general misconduct in connection with your use of the Platform.

8. Intellectual Property

All content on the Platform, including but not limited to text, design, graphics, logos, and branding, is the property of Student Place Limited or its content suppliers and is protected by copyright, trademark, and other intellectual property laws. No content may be copied, modified, or used without express written permission from Student Place.

9. Submissions and Feedback

If you submit feedback, ideas, concepts, or suggestions via the Platform or by email, you grant Student Place a non-exclusive, royalty-free, perpetual, and worldwide licence to use, reproduce, and adapt that content for any purpose, without obligation to compensate you.

10. Third-Party Brands and Links

The Platform may include links to, or facilitate discounts with, third-party brands and businesses. Student Place is not responsible for the content, policies, products, services, or practices of any partnered brand, and disclaims all liability arising from your dealings with them.

11. Disclaimer of Warranties

The Platform and all content are provided "as is" and "as available" without warranties of any kind. Student Place does not guarantee that:

• The Platform will be error-free, secure, or uninterrupted
• Any content, StuDollar balance, or tier calculation will be accurate, complete, or up to date at all times

You use the Platform at your own risk.

12. Limitation of Liability

To the fullest extent permitted by law, Student Place and its officers, employees, and contractors will not be liable for any damages arising from:

• Your use of or inability to use the Platform
• Any content errors or omissions, including StuDollar or tier miscalculations
• Any viruses or harmful components transmitted via the Platform
• Any dealings between you and a partnered brand

13. Privacy

Your use of the Platform is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal information.

14. Changes to These Terms

Student Place may update these Terms at any time. Changes will be posted on the Platform with an updated effective date. Continued use of the Platform after such changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of New Zealand. Any disputes will be resolved in the courts of Wellington, New Zealand.
